1. Definitions
“Seller” refers to Kenmare Ltd T/A Procter’s Sausages.
“Buyer” refers to the wholesale customer purchasing goods from the Seller.
“Goods” refers to the products supplied by the Seller to the Buyer.
“Fresho” refers to the online ordering platform used by the Seller for wholesale orders.
2. Account Setup & References
- All Buyers must complete the Seller’s wholesale account application process on Fresho before placing an order.
- The Seller requires two supplier references as an additional part of the application process.
- The Seller reserves the right to refuse, suspend, or revoke an account at its discretion. Full reasons for such actions would be communicated with the Buyer.
3. Orders
- Orders should be placed via Fresho. The Buyer is responsible for ensuring all order details are correct on their order confirmation.
- All orders are subject to acceptance by the Seller
- A minimum order quantity of 5kg applies to all wholesale orders. Orders below this threshold may not be accepted, unless discussed with the Supplier first. We reserve the right to put higher minimum order quantities in place, subject to delivery location of the Buyer
- All Buyers are required to place their order by 15:00 two days prior to delivery; for example, to get a Wednesday delivery, you must order by 15:00 on the Monday
- Once accepted, orders cannot be cancelled or amended without prior agreement from the Seller.
- All products are subject to availability. Please bear in mind some of our products are seasonal.
4. Pricing
- Wholesale pricing is confidential and intended solely for approved wholesale Buyers.
- Prices are subject to change; however, confirmed orders will be honoured at the price agreed at the time of acceptance-Prices are updated live on Fresho.
5. Payment Terms
- All new Buyers will begin on 7-day payment terms from the date of invoice.
- The Seller may review and adjust payment terms at its discretion based on payment history and trading relationship.
- Payments must be made to the account stated on the invoice.
- Ownership of all goods will remain with the Seller until successful delivery has been made.
- Delivery options, timescales, and costs are outlined on our Delivery Information section. While we aim to meet stated delivery times, delays may occur due to circumstances beyond our control. Ensure all delivery details are accurate to avoid delays.
6. Late Payments & Interest
- If payment is not received by the due date, the Seller reserves the right to: suspend or cancel future deliveries; and/or charge interest on overdue amounts.
- Interest will be charged at 8% per annum above the Bank of England base rate, calculated daily from the due date until payment is received in full.
- The Buyer will also be liable for any reasonable costs incurred by the Seller in recovering outstanding payments, including legal and collection fees.
7. Delivery
- The Seller will arrange delivery as agreed with the Buyer.
- Delivery dates and times are estimates only. The Seller is not liable for delays beyond its reasonable control.
- Responsibility in the goods passes to the Buyer upon successful delivery or collection.
- Once the Buyers account has been successfully created, the Buyer will have at least one nominated day of delivery per week, based on the Buyers delivery location.
- The Seller reserves the right to adjust the delivery days. The Buyer will always be notified of this in advance. Changes to delivery days are most likely to occur when there are Public Holidays.
8. Returns & Damages
- The Buyer must inspect goods upon delivery and report any damages, shortages, or discrepanciesstraight away, and no later than 17:00 on the day of delivery.
- Returns are only accepted with prior written approval and in accordance with the Seller’s returns policy.
- The Seller is not responsible for issues arising from improper storage, handling, or use by the Buyer.

9. Limitation of Liability
The Seller shall not be liable for indirect, consequential, or special losses arising out of the sale or use of goods, including but not limited to; Improper handling, storage, cooking (if applicable) and advertisement.
10. Termination
The Seller reserves the right to suspend or terminate supply if:
- The Buyer fails to make payment by the due date
- The Buyer becomes insolvent
- The Buyer breaches these Terms & Conditions.
11. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales, and both parties agree to the exclusive jurisdiction of its courts.
12. Acknowledgment
By signing, the Buyer agrees to the Sellers Wholesale Terms & Conditions, and supporting policies.
